Cleversoft to acquire FS Assist in UK insurance push

Cleversoft has agreed to acquire FS Assist, adding a UK insurance reporting software specialist to its business.

The deal is expected to close later this month, subject to customary conditions. It will strengthen Cleversoft's position in supervisory reporting and expand its presence in the UK insurance market.

FS Assist supplies regulatory reporting software to insurers and pension providers, with its tools used by about 350 European insurance companies. Its products cover Solvency II, IORP and Lloyd's syndicate reporting, areas that align closely with Cleversoft's broader compliance and reporting business across financial services.

FS Assist has operated in the insurance reporting market for more than two decades. Founded in Edinburgh, it has remained under family ownership while building a customer base that ranges from large multinational insurers to smaller specialist providers.

For Cleversoft, the acquisition extends its product set, which already spans supervisory reporting, financial crime prevention, financial messaging, and digital advisory and compliance. The group serves more than 1,200 financial institutions and is headquartered in Munich, with offices across several European and Middle Eastern markets.

Insurance niche

FS Assist is known for software built around XBRL reporting, a standard widely used for regulatory filings. Its SII Assist package is used to produce XBRL submissions for firms in the UK and in 18 countries across the European Economic Area. Its Syndicate Report & Accounts products are also used in the Lloyd's of London market.

The planned deal reflects continued consolidation in regulatory technology, as software providers add specialist products to broaden their reach across tightly defined compliance niches. Insurance reporting has become increasingly technical as companies manage overlapping reporting demands across domestic and European frameworks.

A priority during the transaction will be continuity for customers and staff. Cleversoft intends to retain the entire FS Assist team after completion, preserving specialist knowledge and established client relationships while integrating the business into the wider group.

That continuity matters in a market where reporting systems are closely tied to annual regulatory cycles and customer support expectations. Firms tend to rely heavily on software suppliers' interpretation of reporting rules, taxonomy updates, and filing requirements, particularly in areas such as Solvency II and pension reporting.

After the deal closes, FS Assist customers will gain access to Cleversoft's wider range of compliance and reporting products. These include services linked to data management, regulatory metrics, reporting document creation, and tools used in adjacent areas such as due diligence, fraud prevention, and transaction monitoring.

Executive comments

Founder and CEO Florian Clever outlined the rationale for the transaction.

Erwin van Dixhoorn, who leads Cleversoft's supervisory reporting business, pointed to the specific insurance-reporting segments that FS Assist serves.

"FS Assist brings deep expertise in Solvency II, IORP and Lloyd's reporting, backed by decades of experience serving the insurance industry. By combining our strengths, we can further enhance our supervisory reporting capabilities and support insurers more effectively across Europe," van Dixhoorn said.

The transaction also marks a change of ownership for FS Assist after years as an independent business. Its software has been built around practical reporting workflows, including Excel-based tools familiar to users handling regulated submissions.

FS Assist Director Pete Comber described the move as the start of a new phase for the company.

The acquisition underscores Cleversoft's effort to build a broader regulatory compliance and reporting platform for financial institutions, with insurance reporting set to play a larger role through FS Assist's established customer base of around 350 European insurers.
